Terms and conditions

The agreement between us, in full. The summary below covers what people ask about most, and nothing in it changes what the terms themselves say.

The short version

Not a substitute for reading the rest, but these are the points worth knowing before you sign.

No setup fee. Your first month is payable in advance, before work begins.
Twelve-month minimum term, renewing automatically each year with a 5% increase. We confirm the new price at least 60 days beforehand.
To stop a renewal, email cancellations@weareignyte.co.uk at least 30 days before your renewal date.
Leaving part way through a term makes the remaining months payable. Leaving at the end of one costs nothing.
You can own your site after twelve months, and it gets cheaper the longer you stay.
Owner Care is available afterwards from £35 a month, with no minimum term.
Changes beyond your allowance are £50 each, confirmed with you first.
A failed Direct Debit carries a £30 admin fee. We may suspend a site after seven days overdue.
No VAT. We're not VAT registered, so the price is the price.
No promises about rankings. Not on Google, and not in any AI assistant.

These Terms and Conditions are between Near Me Searches UK Limited trading as Ignyte, registered in England and Wales under company number 15965829, whose registered office is at Innovation House, 11 North Street, Pewsey, Wiltshire, SN9 5ES (“Ignyte”, “we”, “us”, “our”) and the person or business named on the Order (“the Client”, “you”, “your”).

They apply to the provision of managed website subscriptions, website design, branding, search and marketing services (together, “the Services”).

Part A — General

1. About these terms

These Terms apply to all Services we provide and form the agreement between us, together with the Order.
"Order" means the plan selection, quotation or written confirmation setting out the Services, the Plan and the fees payable.
Where there is any conflict, the Order takes precedence over these Terms.
Orders are placed through our online sign-up, where you register either as a sole trader or as a limited company, and confirm that the Services are for business purposes. By placing an Order you confirm you are acting in the course of a business and not as a consumer.
These Terms replace any earlier terms and any terms you seek to impose.

2. Definitions

"Plan" means the subscription package selected on the Order.
"Site" means the website we design, build and host for you under a Plan.
"Subscription Fee" means the monthly fee for the Plan.
"Minimum Term" means the initial 12 months from the date of the Order.
"Renewal Term" means each further 12-month period under clause 6.
"Transfer Fee" means the fixed one-off fee for your Plan, payable to transfer ownership of the Site under clause 11.
"Client Materials" means text, images, logos, video and other content you supply to us.
"Owner Care" means the optional ongoing service under clause 11A, available once you own your Site.
"Working Day" means Monday to Friday, excluding public holidays in England and Wales.

Part B — Managed website subscription

3. What we provide

We will design, build and publish a Site in accordance with the Plan set out in the Order.
For as long as your subscription is active and paid up to date, we will provide hosting, security, software updates and routine backups for the Site.
We will make content changes to the Site up to the monthly allowance for your Plan, as set out in clause 8.
We will provide support by email during the hours set out below, on Working Days. Response times are targets rather than guarantees.

4. Plans and fees

The Plan and the Subscription Fee are set out in the Order. Our published plans are Standard at £75 per month, Professional at £95 per month and Enterprise at £165 per month. No VAT is added. Annual payment options and an eCommerce bolt-on are available.
Near Me Searches UK Limited is not registered for VAT. No VAT is charged on our fees and none is recoverable by you. If the company becomes VAT registered we will give you written notice before VAT is added to any invoice.
There is no setup fee. Your first month is payable in advance before work begins.
The Subscription Fee increases by 5% at the start of each Renewal Term. The fee does not change during the Minimum Term or during a Renewal Term already begun.
We will confirm the new fee in writing at least 60 days before the renewal date, so that you have the increase in front of you before the 30-day notice period in clause 6.3 closes.
You may upgrade your Plan at any time, taking effect from your next payment date. Plans cannot be downgraded.

5. Payment

All fees are payable by Direct Debit. You agree to complete a Direct Debit mandate at the start of the agreement and to keep it in place for the duration.
The first month is payable in advance. Work will not commence until that payment has been received.
Subsequent payments are collected monthly on the same date. We will give you advance notice of each collection in accordance with the Direct Debit Guarantee.
If a payment remains outstanding for 7 days, we may suspend the Site and any related services until the account is brought up to date. Suspension does not pause the agreement, and Subscription Fees continue to fall due while the Site is suspended.
Late payments accrue interest at 8% per annum above the Bank of England base rate, together with statutory commercial debt recovery costs.

6. Minimum term and renewal

The agreement runs for a Minimum Term of 12 months from the date of the Order.
At the end of the Minimum Term, and at the end of each Renewal Term, the agreement renews automatically for a further 12 months.
To prevent renewal, you must give us written notice at least 30 days before the renewal date, by email to cancellations@weareignyte.co.uk. We will acknowledge your notice in writing.
If you end the agreement during the Minimum Term or a Renewal Term, the Subscription Fees for the remainder of that term become payable immediately. This reflects the fees you committed to when you placed the Order and is not a penalty.
We may end the agreement by giving you 30 days' written notice, or immediately if you materially breach these Terms or fail to pay.

7. Build and go-live

We aim to publish your Site within seven Working Days of receiving everything we need from you. That includes your content, images, access details, and approval at each stage.
You agree to co-operate fully and to provide all necessary information, materials and approvals promptly.
Where a delay is caused by late or incomplete information from you, the timescale extends accordingly. No refund or reduction in fees applies.
If we have not received the information we need within three weeks of the Order, we may close the project. Fees already paid are not refundable and the Subscription Fees for the remainder of the Minimum Term remain payable. We will always contact you before closing a project.
We will give you the opportunity to review the Site during the design phase and on completion. Work is deemed accepted unless you notify us otherwise within ten Working Days.

8. Content changes

Content changes included in your Plan cover amendments to existing text, images and contact details.
New pages, structural changes, new functionality, redesigns and integrations are additional work and will be quoted separately.
Change requests should be sent by email and are subject to the monthly allowance for your Plan.

9. Hosting, availability and security

We will use reasonable endeavours to keep the Site available, but we do not guarantee uninterrupted or error-free availability.
We take weekly backups of the Site and keep them for six weeks.
We may carry out maintenance which temporarily affects availability. Where the work is planned, we will give reasonable notice.
You must not use the Site to store or transmit unlawful material, and you must not attempt to interfere with the hosting environment.

10. Domain names

We may register or renew a domain name on your behalf. Where possible, you will be recorded as the registrant.
Domain renewals are invoiced annually and are separate from the Subscription Fee unless the Order says otherwise.
We are not liable for the loss of a domain name arising from non-payment or from a failure to respond to renewal notices.

11. Ownership of the Site

Until ownership is transferred under this clause, we own all intellectual property rights in the Site, other than in Client Materials.
For as long as your subscription is active and paid up to date, we grant you a non-exclusive licence to use the Site for your business.
Your Subscription Fees count towards ownership of the Site. After the Minimum Term has been completed and provided your account is up to date, you may request a transfer of ownership on payment of the Transfer Fee. The longer you have been with us, the lower the fee:

The figure after 36 months is the lowest the fee goes. It does not reduce further.
These are fixed amounts. They do not change with the annual uplift in clause 4.4, so the cost of owning your Site falls over time rather than rising with your subscription.
On transfer we will provide the domain name and a standard WordPress export of the Site, and will assign to you the rights we hold in its design and build. Third-party components, licensed themes, plugins, fonts and stock imagery are not assigned. Where they can be transferred, they are licensed to you on the relevant provider's terms.
Client Materials remain yours at all times.
If ownership is not transferred, the licence in clause 11.2 ends when the agreement ends and the Site will be taken offline.

12. Suspension and termination

We may suspend the Site and any related services where payment is overdue, after giving you notice.
On termination, and unless ownership has been transferred under clause 11, we will take the Site offline.
On request within 30 days of termination we will return a copy of your Client Materials at no charge.
If you want to keep the Site, you may transfer ownership under clause 11.3 at any time up to 30 days after termination, on the same terms. There is no separate handover fee.
Fees already paid are not refundable, save where required by law.
Clauses which by their nature should survive termination will do so, including clauses 11, 11A, 18, 19, 22, 23, 24 and 25.

14. Local SEO and Google Business Profile

Google Business Profile setup is charged as follows. On Standard it is an optional add-on at £30 per month, and on Professional at £10 per month, in each case for the first 12 months only, after which the charge stops. On Enterprise it is included and optimised at no extra cost.
Where included in your Plan or quoted separately, we will also carry out local search work.
You will provide administrative access to your Google Business Profile and authorise us to make the changes needed.
We do not guarantee any particular search ranking, position, volume of traffic or number of enquiries. Search engines set their own policies and rankings, and these are outside our control.
We are not affiliated with Google or any other search engine.
We are not responsible for the effect of changes made to your listing or Site by you or by any third party.

14A. AI search readiness

AI search readiness is preparation work that makes your Site easier for AI assistants to read, understand and quote accurately. It is not included on Standard. Professional includes the basic level and Enterprise the advanced level.
The basic level covers structured data on your key pages, FAQ content and markup on your main service pages, consistent business details across your Site and Google Business Profile, a standard machine-readable summary file, content written so it can be quoted clearly, and a review at launch.
The advanced level covers full structured data including services, areas and reviews, FAQ content across the Site drawn from real customer questions, consistent details across your Site, Google Business Profile and major directories, a maintained summary file updated as your services change, question-led pages, and a quarterly review with a written summary.
We do not guarantee that your business will appear in, or be recommended by, any AI assistant or search feature. How those systems select and present information is outside our control and changes without notice.

15. Advertising and marketing

Advertising spend is separate from our management fees and is paid by you directly to the advertising platform. We do not hold or handle your ad budget.
We do not guarantee any particular result, cost per enquiry or return from advertising.
There is no minimum campaign term. Advertising work can be started and stopped at any time on reasonable notice, although results usually take time to settle.

Both parties will comply with applicable data protection law.
Where we process personal data on your behalf in connection with the Site, you are the controller and we are the processor. Schedule 1 sets out the details of that processing and the obligations we owe you as processor.
Where we process your own contact and billing details in order to run our relationship with you, we do so as controller.

24. Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
We are not liable for indirect or consequential loss, loss of profit, loss of business, loss of goodwill or loss of anticipated savings.
Our total liability in connection with this agreement is limited to the fees paid by you in the 12 months before the claim arose.
We are not liable for loss of data where you have not maintained your own copy of the Client Materials.

27. General

You may not transfer this agreement without our written consent. We may transfer it to another company within the same group.
These Terms and the Order form the entire agreement between us. No variation is effective unless agreed in writing.
If any provision is found to be invalid or unenforceable, the remaining provisions continue in effect.
A person who is not a party to this agreement has no right to enforce it.
Notices must be given in writing by email to hello@weareignyte.co.uk, or to the address on the Order. Notice to prevent renewal must go to cancellations@weareignyte.co.uk under clause 6.3.

28. Governing law and jurisdiction

Schedule 1 — Data processing

This Schedule sets out the details required by Article 28 of the UK GDPR. It forms part of these Terms.

1. Roles of the parties

In relation to personal data collected through or held on the Site, you are the controller and we are the processor.
In relation to your own contact, account and billing details, which we use to run our relationship with you, we are the controller.
Each party will comply with its own obligations under applicable data protection law.

We process personal data only on your documented instructions, for the following purposes:

Hosting the Site and the data submitted through it
Storing and forwarding enquiries submitted through contact and booking forms
Taking and holding backups
Applying security, software and content updates
Investigating and resolving faults and support requests
Where included in your Plan, processing orders and customer accounts through eCommerce functionality
Where included in your Plan, reporting on site analytics

4. Types of personal data

Depending on the Site and the Plan, this may include:

Names, email addresses, telephone numbers and postal addresses
The content of enquiries and messages submitted through the Site
Account details where the Site has a login area
Order and delivery details where the Site has eCommerce functionality
Technical data such as IP addresses, device and browser information, and cookie identifiers

6. Our obligations as processor

We will:

Process personal data only on your documented instructions, unless required otherwise by law, in which case we will tell you first unless the law prevents us
Ensure that anyone authorised to process the data is bound by a duty of confidence
Put appropriate technical and organisational measures in place, as set out in paragraph 9
Not engage a sub-processor without your general authorisation, and give you notice of any intended change so you can object
Assist you, so far as reasonably possible, in responding to requests from data subjects
Notify you without undue delay on becoming aware of a personal data breach
Delete or return personal data at the end of the Services, as set out in paragraph 11
Make available the information reasonably needed to demonstrate compliance with these obligations

7. Sub-processors

You give general authorisation for the sub-processors below. We will give you at least 30 days’ written notice before adding or replacing any of them, so that you have the opportunity to object.

8. International transfers

Personal data is held within the United Kingdom or the European Economic Area wherever possible.
Where a sub-processor transfers personal data outside the UK, the transfer will be covered by an adequacy decision or by the International Data Transfer Agreement or Addendum. A content delivery network by its nature serves content from locations around the world, and is covered on that basis.

9. Security measures

We maintain measures appropriate to the risk, including:

Encryption in transit using TLS across all Sites
Access to hosting and administrative systems restricted to named individuals
Multi-factor authentication on administrative accounts
Regular application of security and software updates
Weekly backups retained for six weeks
Firewall and malware protection at the hosting layer

10. Personal data breach

We will notify you without undue delay, and in any event within 48 hours, of becoming aware of a personal data breach affecting personal data we process on your behalf.
Our notification will describe the nature of the breach, the categories and approximate number of data subjects and records affected so far as known, the likely consequences, and the measures taken or proposed.
Reporting a breach to the Information Commissioner or to affected individuals is your responsibility as controller. We will provide the information and assistance you reasonably need in order to do so.

11. Return and deletion

On termination, and at your written request within 30 days, we will return a copy of the personal data held on the Site in a standard WordPress export.
We will then delete the personal data we hold on your behalf, other than copies held in backups, which are overwritten in the normal cycle within six weeks.
We may retain personal data where required by law, and will continue to protect it for as long as we hold it.
